Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vexoris HR website, platform, and related services (collectively, the "Services") provided by Vexoris Development ("Vexoris", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.

Vexoris HR is a cloud-based human resources software platform that helps organizations manage staff records, attendance, leave, and related people operations. Features may vary by plan and are subject to change as we continue to develop the product.

Our public website may display features, pricing, or content that are still under development. We may modify, suspend, or discontinue any part of the Services at any time.

To use certain parts of the Services, you must create an account or be invited by an authorized administrator. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Promptly notifying us of any unauthorized access

We may suspend or terminate accounts that violate these Terms or pose a security risk.

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose
• Upload or process data you do not have the right to use
• Attempt to gain unauthorized access to systems, accounts, or data
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, copy, or resell the Services except as permitted by law
• Use the Services to send spam or unsolicited communications

Customers are responsible for configuring access permissions and ensuring their use of the platform complies with applicable employment and data protection laws.

You retain ownership of the data you and your authorized users submit to the Services ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Services.

You are responsible for obtaining any necessary consents and providing appropriate notices to employees and other individuals whose data is processed through the platform.

Paid plans, where offered, are billed according to the pricing and terms presented at the time of purchase or in a separate order form. Fees are generally charged in advance on a recurring basis unless otherwise stated.

Unless required by law, fees are non-refundable. We may change pricing for future billing periods with reasonable notice. Failure to pay may result in suspension or termination of access.

The Services, including all software, design, branding, documentation, and content provided by Vexoris (excluding Customer Data), are owned by Vexoris or its licensors and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during your subscription term.

Each party may receive confidential information from the other in connection with the Services. The receiving party will use reasonable care to protect such information and will not disclose it except as needed to perform under these Terms or as required by law.

The Services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or meet every specific requirement of your organization.

Vexoris HR is a software tool and does not provide legal, tax, accounting, or employment advice. You are responsible for how you use the platform and for compliance with applicable laws.

To the maximum extent permitted by applicable law, Vexoris will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the Services.

Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid us for the Services in the twelve (12) months before the event giving rise to the claim, or one hundred euros (€100) if no fees were paid, unless mandatory law requires otherwise.

You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or if continued provision becomes impractical for legal or security reasons.

Upon termination, your right to access the Services ends. Provisions that by their nature should survive — including ownership, disclaimers, liability limits, and governing law — will continue to apply.

These Terms are governed by the laws of Germany, excluding conflict of law rules. If you are a consumer residing in the European Union, you may also benefit from mandatory protections of the laws of your country of residence.

Courts in Germany shall have jurisdiction over disputes arising from these Terms, unless mandatory consumer protection rules provide otherwise.

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
